About the Program
The panel will discuss and review income tax issues that must be evaluated in the various forms of transactions for selling an active business, including asset sales, entity sales, part rollover to purchaser equity, mergers, and donations of ownership units to charity prior to a liquidity event.  The panel will also cover estate planning concerns that arise when blending the disposition of a business into a comprehensive estate plan, and discuss interesting methods for preserving, rather than selling, a successful business, with future profits benefitting nonprofit causes and the client’s mission.

About the Speakers
Alex Campbell
is Counsel in the Cleveland office of BakerHostetler.  He serves as outside general counsel to public charities, private and community foundations and other tax-exempt organizations, advising on issues that run the gamut from taxation and corporate governance to contracting. He also counsels philanthropy-minded individuals and families on estate planning and wealth management matters, and helps companies develop corporate giving and sponsorship programs.

Scott Swartz is Counsel in the Cleveland office of BakerHostetler.  He counsels clients on estate planning, trust and estate administration, asset protection and personal income tax planning, as well as working with business owners on tax aspects of business ownership and transactions and succession planning for privately held companies.

Lucas Witters is a partner in BakerHostetler’s income tax group. He focuses his practice on tax-advantaged project finance and related planning and controversy. He represents nonprofit and for-profit developers and other clients in the creation and implementation of tax efficient financing and transaction structures. Lucas also assists both individual and institutional clients with income tax planning and controversy.

Continuing Education – EPC Cleveland will request approval for this program from the CFP® Board of Standards for CFP® designation holders, from the Supreme Court of Ohio for Ohio attorneys to receive CLE credit, and from the Ohio Department of Insurance. A certificate of completion will be available for those AEP®, CPA, and CWS designees who feel the program satisfies their continuing education requirements.  

Reservation Policy – All attendees are encouraged to register in advance and walk-in reservations will be accepted on a space-available basis only.  The meeting cost is $35 for members of EPC and Tax Club when paid in advance before noon 05/05/23, $50 for members at the door, $50 for guests, and $210 for a table of six (can be mix of members and non-members - please submit names to admin@epccleveland.org by 05/08/23).  If you reserve and are unable to attend, please call the office to cancel by noon 05/05/23 to avoid a no-show reservation billing.
